i. Subcontractor Relationship: one Party (Subcontractor) agrees to perform services for the other Party (General Contractor) as a subcontractor, whereby a Customer may enter into a contract with the General Contractor that will govern the delivery of all aspects of energy-savings improvement services, including but not limited to installation, warranties, insurance, protection of Customer information, and compliance with laws.
ii. Lead Sharing Relationship: each Party (in such case the Referring Party) agrees to introduce, on a non-exclusive basis, existing or prospective Customers to the other Party (Receiving Party) for purposes of the Receiving Party entering into agreements with such Customers for the delivery of energy-savings improvement services which the Referring Party does not provide in-house or pursuant to a subcontract, provided in all cases that Customer information may only be disclosed with the Customer’s consent and in accordance with all applicable legal and contractual requirements.
